Primo Water Referral Program Terms
The following sets forth DS Services of America. Inc. dba Primo Water North America's ("Primo Water") Referral Program (the "Referral Program") terms and conditions. By participating in the Referral Program, you are agreeing to these terms and conditions. The Referral Program and these terms and conditions shall take effect as of September 15, 2022 and continue until terminated at Primo Water's sole discretion. All transactions that take place prior to the termination of the Referral Program and that meet the terms described herein shall qualify for the promotional offer available through the Referral Program. The Referral Program is for U.S. customers only.
1. INTRODUCTION
Primo Water allows existing customers (the "Referrers") the opportunity to refer friends and family members (the "Referees") with a $25 discount (the "Offer") to try the goods and/or services of Primo Water , while allowing Referrers the opportunity to earn a $25 referral credit (the "Credit") for each new customer.
2. OVERVIEW OF TERMS
These Terms of Program ("Terms") cover your rights and obligations relating to your access and use of the Primo Water website, your participation in the Referral Program (as defined below), and any other related services provided by us (collectively, the "Program"). All references to "we", "us", "our", or "Company" refer to Primo Water. All references to "Referrer" refer to the person referring a particular Primo Water offer, discount, or perk (the "Offer"). All references to "Referee" refer to the party receiving the Referrer's referral of the Offer. All references to "you", "your", or "user" refer to all users of the Referral Program, whether they are the Referrer or Referee. In addition to these Terms, please review Primo Water's Privacy Policy which describes our practices related to collection and use of personal data. By using the Program, you represent and agree that you have read, understand, and agree to be bound by both these Terms and our Privacy Policy as binding agreements.

3. AGE POLICY; PERMITTED USERS
The Program is not intended to be used by children under 18 years of age. By using the Program, you represent to Primo Water that you are over 18 years old and that you are legally able to enter into this Agreement. We do not knowingly collect or solicit personally identifiable information from anyone under 18; if you are under 18, please do not use or attempt to use the Program or send any personal information about yourself to us.
4. PERMITTED USE OF THE PROGRAM
You may only use the Program for its intended purpose. You may not use the Program for any other purpose. Any non-permitted use of the Program, as determined in our sole discretion, shall be grounds for immediate termination of these Terms and immediate termination of your use of, and access to, the Program.
5. OVERVIEW OF THE PROGRAM
To access the Referral Program, existing customers may obtain a Referrer-specific shareable URL. Customers may then share the URL publicly or privately to potential new customers.
For a Referrer to qualify for the Credit the Referrer must be an existing Primo Water customer and the Referee must (i) be a new Primo Water customer residing in the United States, (ii) use a referral link shared by the Referrer and (iii) via the referral link, make a qualifying purchase of at least three bottles and a cooler order before application of the Credit. The Referrer will receive an automated referral Credit to the Referrer's account within 30 days of the Referee's purchase. Customers may not refer anyone who has an existing account under an alternate email address or household member.
Offer cannot be combined with any other offers or promotions. Offer applies to merchandise and services only and cannot be applied toward shipping and handling charges, taxes or other fees. Offer has no cash value and is nontransferable, will not be replaced if lost or stolen, and cannot be auctioned or sold. No cash/credit back. Primo Water reserves the right to modify or discontinue this program at any time without notice.
Any abuse of this Referral Program, as determined by us in our sole discretion, may result in the rescission of the Referrer's Offer and the Referee's promo code as well as both parties' inability to participate in this or future promotions. Referral Offer cannot be applied to previous orders and is not redeemable for cash. This Referral Program is subject to modification or termination at any time without notice in our sole discretion. This Referral Program valid in U.S. only.
In order to participate in the Referral Program, a Referrer or Referee may be required to provide us with certain Personal Data, such as a name and email address. Any collection or use of Personal Data shall be governed by Primo Water's Privacy Policy.
All federal, state and local laws and regulations apply. Void where prohibited by law.
6. GOVERNING LAW
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts in or for Florida for the purpose of litigating all such claims or disputes, unless such claim or dispute is required to be arbitrated as set forth in these Terms.
7. DISPUTE RESOLUTION:
You agree to resolve any dispute, claim, or controversy arising out of or relating to your use of the Program in the following manner. First, you and Primo Water each agree to attempt in good faith to resolve the dispute informally by contacting us at customerservice@primowater.com. Second, if the dispute is not resolved through informal resolution, we both agree to litigate the matter in court in Florida.
YOU AND PRIMO WATER EACH HEREBY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE TRANSACTIONS CONTEMPLATED HEREBY.
Nothing contained in this Section shall limit our ability to terminate, or otherwise take action related to, your account as provided in these Terms.
8. TERM AND TERMINATION
These Terms will remain in full force and effect as long as you continue to access or use the Program, or until terminated in accordance with the provisions of these Terms. However, the provisions of these Terms that by their sense and context are intended to survive the termination of these Terms shall survive the termination.
9. SEVERABILITY AND WAIVER
If, for whatever reason, any term or condition in these Terms is deemed unenforceable, all other terms and conditions will remain unaffected and in full force and effect. The failure to enforce any provision of these Terms is not a waiver of our right to do so later, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.
10. MODIFICATIONS TO THESE TERMS
Primo Water reserves the right to change these Terms from time to time, with or without notice to you. If you continue to use the Program, you consent to the new Terms.
